I. General Provisions The “Association of Doctors and Medical Students” (hereinafter referred to as the “Association”) is a non-governmental organization formed on the basis of common interests, voluntarism, and the principle of equality of rights among its members. It does not aim to generate profit and does not distribute any income among its members. Its activities cover the entire territory of the Republic of Azerbaijan. 1.2 The Association operates in accordance with the Constitution of the Republic of Azerbaijan, the Law of the Republic of Azerbaijan “On Non-Governmental Organizations (Public Associations and Foundations),” other normative legal acts, and this Charter. 1.3 The Association acquires legal entity status from the moment it is registered with the Ministry of Justice of the Republic of Azerbaijan. It has an independent balance sheet, a seal and stamp with its name on it, a settlement account in the banks of the Republic of Azerbaijan, and other requisites. 1.4 The address of the Association is: Suleyman Rustam Street, House 87, Apartment 1, Nasimi District, Baku, Republic of Azerbaijan. II. Objectives and Tasks of the Association 2.1 The main objective of the Association is to support Azerbaijani doctors, pharmacists, and medical students in becoming highly qualified professionals and to encourage them to actively participate in solving healthcare and medical issues. 2.2 To achieve these objectives, the Association carries out the following tasks: • Providing doctors, pharmacists, and medical students with opportunities for scientific work and professional specialization abroad; • Assisting them in establishing connections and collaborations with their foreign counterparts; • Spreading innovations in clinical and experimental medicine among young doctors, pharmacists, and medical students; • Familiarizing them with the medical education systems and internship programs of leading Western countries; • Ensuring regular access to modern medical literature; • Helping medical students with correct specialty choices; • Encouraging Azerbaijani doctors, pharmacists, and students to engage with healthcare challenges both nationally and globally; • Promoting a healthy lifestyle among youth. 2.3 To fulfill the tasks set out in this Charter, the Association: • Cooperates with relevant state bodies and municipalities of the Republic of Azerbaijan; • Organizes various courses, seminars, round tables, exhibitions, conferences, charity marathons, and other socio-cultural events; • Freely disseminates information about its goals and activities and establishes printed publications in accordance with the law; • Participates in events held by foreign organizations that are not contrary to its aims and interests. 2.4 The Association cannot participate in the elections of the President of the Republic of Azerbaijan, the Milli Majlis (National Assembly), or municipal councils. ⸻ III. Rights of the Association 3.1 The Association is entitled to: • Enter into agreements on its behalf, acquire property and personal non-property rights, assume obligations, and act as plaintiff or defendant in court; • Freely disseminate information about its activities; • Establish branches and representative offices both in Azerbaijan and abroad; • Join international NGOs, form and join alliances based on voluntarism, and participate in the formation of unions of legal entities; • Open bank accounts and conduct financial transactions; • Possess an independent balance, seal, stamp, and other requisites; • Engage in entrepreneurial activity that is not prohibited by law and that aligns with its Charter; • Exercise other rights defined by Azerbaijani legislation. ⸻ IV. Property and Financial Activities of the Association 4.1 The Association may own buildings, structures, apartments, equipment, inventory, funds, shares, securities, and other types of property not prohibited by law for the material support of its activities. 4.2 The Association is liable for its obligations with its property. This property may only be alienated in accordance with Azerbaijani law. 4.3 Sources of financial and other property for the Association include: • Regular or one-time membership fees and voluntary donations from members; • Voluntary donations of property and funds from institutions, organizations, and individuals, both domestic and international; • Dividends and income from shares, bonds, and other securities and deposits; • Income from the use or sale of its own property; • Grants; • Income from exhibitions, concerts, and other events; • Income from the activities of established entities; • Other incomes not prohibited by law. 4.4 Members of the Association do not hold any special rights over specific objects of its property. 4.5 The Association has ownership, usage, and disposal rights over its property in accordance with the purposes and intended use as determined by Azerbaijani law. 4.6 Targeted funds received by the Association cannot be spent for other purposes. 4.7 The Association cannot provide financial or material assistance to political parties. 4.8 The Association prepares financial, statistical, and other reports as required by law and submits them to the relevant state authorities. ⸻ V. Founders and Members of the Association, Their Rights and Duties 5.1 The founders of the Association may be legal entities (excluding state authorities and local self-governing bodies) or individuals over 18 years old. 5.2 Founders have equal rights. Their mutual relations, rights, and obligations are defined by law, agreements between them, or the Charter. 5.3 Any individual or legal entity (excluding state authorities and local self-governing bodies) in Azerbaijan may become a member. 5.4 To become a member, a written application must be submitted to the Board. The application is reviewed within one week. If the majority of board members vote positively, the applicant is considered accepted. 5.6 All members have equal rights and may: • Participate in the governance of the organization; • Be elected to or appointed in any elected body, including the leadership; • Participate in the Association’s activities and events; • Receive information about the activities of leadership bodies and monitor them; • Seek assistance from the Association to protect their interests; • Participate in discussions concerning their rights and obligations; • Submit complaints and objections to relevant bodies. 5.7 A member can represent or make statements on behalf of the Association only with authorization from its competent bodies. 5.8 Members are obligated to: • Abide by the Charter; • Follow the decisions of elected bodies; • Comply with the Charter’s provisions; • Participate in Association events. 5.9 Membership fees are determined by the Board. 5.10 Membership ends in the following cases: • Voluntary withdrawal; • Expulsion from membership. 5.11 Grounds for expulsion include: • Actions tarnishing the Association’s reputation; • Regular refusal to participate in the Association’s work; • Actions contrary to the Charter’s objectives. 5.12 Expulsion decisions are made by the Board. 5.13 The expelled member has the right to appeal to the highest governing body or court. ⸻ VI. Organizational Structure and Governing Bodies of the Association 6.1 The highest body of the Association is the General Assembly, convened at least once a year. 6.2 It is called by the executive body, a founder, or one-third of the members. 6.3 Members must be informed of the date and location two weeks in advance. 6.4 The General Assembly is responsible for: • Adopting and amending the Charter; • Determining the principles for managing and using property; • Establishing and terminating executive bodies; • Approving the annual report; • Participating in other organizations; • Reorganizing or dissolving the Association; • Hearing reports from executive leadership. 6.5 The Assembly is valid if more than half the members attend. 6.6 Decisions are made by a simple majority. Amendments to the Charter, reorganization, and dissolution require a two-thirds majority. 6.7 The Board oversees the daily management of the Association. 6.8 The Board includes the Chairperson, deputies, and other members. 6.9 The Board is authorized to: • Admit and remove members; • Propose initiatives and projects; • Create branches and representative offices; • Handle all matters not under the exclusive authority of other bodies. 6.10 A quorum exists if more than half of the board members are present. 6.11 The Chairperson, deputies, and other board members are elected by the General Assembly for a two-year term. 6.12 The Chairperson: • Represents the Association, signs contracts and issues authorizations, ensures implementation of Assembly and Board decisions; • Carries out other responsibilities assigned by the Assembly or the Charter. 6.13 The Supervisory-Audit Commission monitors compliance with the Charter and financial activity. Its members are elected for a two-year term by the General Assembly and make decisions by simple majority. 6.14 The Commission must respond to appeals from members or governing bodies within one week. ⸻ VII. Termination of Activities 7.1 The Association may be terminated through reorganization (merger, accession, division, separation, transformation) or liquidation, as stipulated by law. 7.2 A liquidation commission is formed upon the decision to terminate. All management powers are transferred to the commission. After satisfying creditor claims, remaining assets are directed toward the purposes stated in the Charter or, if not possible, to the state budget. Liquidation is carried out in accordance with the Civil Code and other legislation of the Republic of Azerbaijan. ⸻ VIII. Final Provisions 8.1 Matters not addressed in this Charter are regulated by law. 8.2 If any provision contradicts future legislation, the law takes precedence. 8.3 The financial year begins on the date of registration and ends on December 31. Each subsequent financial year begins on January 1 and ends on December 31.
